By accessing and using Ascent's gaming performance analytics service, you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service constitute a legally binding agreement between you and Ascent.

If you do not agree to abide by the above, please do not use this service. Your continued use of the service following any updates or changes to these Terms constitutes your acceptance of such changes.

Ascent provides gaming performance analytics tools designed to help you capture, analyze, and improve your gameplay. Our service includes gameplay recording, performance metrics analysis, statistical insights, and cloud storage capabilities.

The service consists of a desktop application for capturing gameplay, cloud infrastructure for optional data synchronization, and analytics tools for performance improvement. Features may include match recording, performance tracking, statistical analysis, and personalized insights.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with reasonable notice when possible. We will make efforts to allow you to retrieve your data before any permanent service discontinuation.

To access certain features of our service, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate and complete information when creating your account and to update this information as necessary. You must be at least 13 years old to create an account and use our services.

You may not use another person's account without permission. You must notify us immediately of any unauthorized use of your account or any other breach of security.

You agree to use Ascent only for lawful purposes and in accordance with these Terms. You may not use our service to violate any applicable laws, regulations, or third-party rights.

Prohibited activities include but are not limited to: attempting to gain unauthorized access to our systems or other users' accounts, interfering with the proper functioning of the service, uploading malicious code or content, using the service to harass or harm others, or violating the terms of service of the games you record.

You are solely responsible for ensuring that your use of our service, including recording gameplay, complies with the terms of service and end-user license agreements of the games you play. We are not responsible for any violations of third-party terms that may result from your use of our service.

The Ascent service, including all software, designs, text, graphics, and other content, is owned by Ascent and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the service for personal, non-commercial purposes.

You retain all ownership rights to your gameplay recordings and any content you create using our service. By using our service, you grant us a limited license to process and analyze your gameplay data solely for the purpose of providing our analytics services to you.

We do not claim ownership of your gameplay content. You are responsible for ensuring you have the necessary rights to record and share any gameplay content through our service.

Your use of our service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your privacy and handling your data responsibly.

You acknowledge that you have read and understood our Privacy Policy and agree to our data collection and use practices as described therein. We do not sell or monetize your personal data.

You have full control over your data and can delete your recordings and account at any time through the application interface.

Certain features of Ascent may require a paid subscription. If you choose to subscribe to premium features, you agree to pay the applicable fees as described in our pricing page.

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period.

We reserve the right to change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period. Continued use of the service after price changes constitutes acceptance of the new pricing.

The Ascent service is provided 'as is' and 'as available' without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or completely secure.

We are not responsible for any loss of data that may occur due to your use of the service, including but not limited to gameplay recordings. We strongly recommend maintaining local backups of important recordings.

To the maximum extent permitted by law, Ascent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

You agree to indemnify and hold harmless Ascent, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the service or violation of these Terms.

This indemnification obligation includes any claims related to your gameplay recordings, including any alleged violations of third-party intellectual property rights or game publisher terms of service.

You may terminate your account at any time by using the account deletion feature in the application or by contacting our support team. Upon termination, your right to use the service will immediately cease.

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, if you breach any provision of these Terms or engage in any conduct that we determine, in our sole discretion, to be harmful to other users or the service.

Upon termination, you may request to export your data within 30 days. After this period, we will delete your account and associated data in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ascent is incorporated, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the service shall first be addressed through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration association.

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and, if you have an account, by sending you an email notification.

Your continued use of the service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you should discontinue use of the service and may delete your account.

These Terms constitute the entire agreement between you and Ascent regarding the use of our service and supersede any prior agreements or understandings.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. The section headings used herein are for convenience only and shall not affect the interpretation of these Terms.
